Overview
I am a Corporate Partner with over 30 years’ experience advising both private and public sector clients. I am frequently brought in as lead advisor managing special projects for key clients that require a multi-disciplinary knowledge of business matters.
I am experienced in M&A work, joint ventures, demergers and business reorganisations (particularly for family-owned SMEs), structuring complex transactions and negotiating all relevant agreements including acquisition agreements, investment terms, shareholder and management arrangements, articles of association, partnership and LLP agreements.
By developing strong working relationships with my clients’ management consultants and financial advisors, and as lead advisor on special projects, I ensure I deliver significant value and drive closings, often while working under considerable time pressure.
I am particularly interested in the corporate aspects of private wealth management.
Recent experience
Advising the Forestry Commission on the acquisition of the Camping & Caravanning Club’s member interest in Camping in the Forest LLP, which runs 16 camping sites on behalf of Forestry England and Forestry and Land Scotland, from the Cairngorms to the New Forest
Advising Freshways Dairy on the corporate aspects of its merger with Medina Dairy, including the arrangements to implement the new equity arrangements, funding arrangements & management structure to be put in place following regulatory approval and completion of the merger
Managing a multi-disciplinary team as lead corporate advisor to act on the confidential acquisition of a chain of luxury hotels throughout England with a deal value exceeding £275m which completed during lockdown in 2020.
