Michelmores’ Corporate team is delighted to have supported Calitii and its shareholders on its sale to Synechron, a leading global digital transformation consulting firm.
Founded by Patrick O’Connor in 2023, Calitii is a global IT consultancy and integrator which enables major organisations in highly regulated sectors to unlock the potential of ServiceNow.
This is the third time that Michelmores has advised Patrick on the disposal of a business he has established, following the sales of TESM to DXC Technology in 2018, and DEXDA to LogicMonitor in 2021.
The acquisition of Calitii by Synechron took place alongside its acquisition of two other businesses, RapDev and Waivgen, which between them now creates the largest financial services focussed ServiceNow practice globally. The new business will leverage ServiceNow’s market-leading, cloud-based platform to help enterprises transform their workflows and integrate AI into essential aspects of their operations.
The Michelmores Corporate team was led by Partner, Harry Trick, alongside Chris Cook, Harry Jones, Angharad Doyle and Emma Cheshire. Corporate Tax support was also provided by Cathy Bryant, Anthony Reeves and Dan O’Sullivan.
Other lead advisors on the transaction were Raymond James (corporate finance advisors to the shareholders) and Bird & Bird (legal advisors to Synechron).
“Calitii and Synechron speak the same language when it comes to helping banks innovate,” said Patrick O’Connor, CEO of Calitii. “Together with ServiceNow, we will bring clients an even wider set of capabilities to speed their AI adoptions.”
Harry Trick commented:
“It was a pleasure supporting Patrick and his team on this transaction. They have built a fantastic business in a short-space of time, and I have no doubt it will now go on to even better things under the Synechron umbrella. On a personal level, having also supported Patrick on his sales of TESM and DEXDA, I was delighted to have played a role in this third success story of his.“
