Overview
I am a Director of Corporate Services in Michelmores’ Corporate team.
I qualified as a CILEx Lawyer and Fellow of the Chartered Institute of Legal Executives (CILEx) in 2015. I am also a Corporate Governance (CG) Affiliated Member of The Chartered Governance Institute UK & Ireland.
I specialise in company law, corporate governance and company secretarial practice. My work centres on the formation and ongoing administration of companies, supporting organisations with governance frameworks and statutory compliance. I advise directors on their statutory duties and responsibilities, help to organise board and shareholder affairs, and provide guidance on key developments in company law under the Companies Act 2006 and more recently, the company law reforms introduced by the Economic Crime and Corporate Transparency Act 2023 (ECCTA).
I frequently undertake company formation for businesses setting up in the UK, including transactions with an international element.
I lead a busy Corporate Services team responsible for the company secretarial and statutory compliance of nearly 500 companies. My clients operate across a wide range of sectors, including medium to large group structures, start‑ups and scale‑ups, multi‑academy trusts, property management companies, membership and trading associations, and community interest companies.
I particularly enjoy working with clients in an advisory capacity as their trusted company secretary—supporting General Counsels, Chairs, CEOs, CFOs and other board members, and playing a central role in the organisation’s governance arrangements. My focus is on helping clients achieve their objectives while ensuring their activities meet all legal, ethical and regulatory requirements.
I have been part of Michelmores’ Corporate team since 2009 and have worked in corporate governance and company secretarial practice since 2007.
Recent experience
Acting as a company secretary for a London based not-for-profit organisation which includes personal attendance at quarterly board of directors’ meetings and managing the company’s general meetings
Providing support to the board of directors of a private company with a shareholder base of approximately 3,000 in preparing for and delivering their annual general meeting
Supporting the establishment and incorporation of a UK trading subsidiary for a well‑known German dairy and cheese producer
Assistance with the review and rectification of the statutory registers of a family-run private company in preparation for the sale of their business
Advising and assisting a property owner with the restoration of a dissolved management company via the administrative restoration route
Advising the board of directors of a property management company relating to governance matters, and preparing a memorandum of the company’s structure, processes relating to directors’ decision-making, members’ resolutions or decision-making, rights of members, authority, powers and statutory duties of directors
